These Terms and Conditions (the "Terms") govern your access to and use of Simplitas, a product and service operated by tenXis Inc ("tenXis Inc", "Simplitas", "we", "our", or "us"). By accessing or using Simplitas, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Simplitas provides tools to plan, create, optimize, and manage content for visibility across search engines and AI assistants. We may update, improve, or modify features from time to time.

2. Eligibility

You must be at least 13 years old to use the Service, and at least 18 years old to enter into a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and that you accept these Terms on its behalf.

3. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Provide accurate information and keep it up to date.
• Notify us immediately of any unauthorized access or suspected breach.

4. Subscriptions, Billing, and Taxes

• Some features require a paid subscription. Prices and plans are shown at the time of purchase and may change with notice.
• Subscriptions renew automatically unless canceled before the end of the current billing period.
• Applicable taxes may be charged based on your billing address and local laws.
• If a payment cannot be processed, we may suspend or terminate access until payment is resolved.

5. Trials and Promotions

• We may offer free trials or promotional pricing. When a trial ends, your subscription may convert to a paid plan unless you cancel before the trial period expires.
• Promotional terms may be subject to additional rules published at the time of the offer.

6. Cancellations and Refunds

• You may cancel at any time in your account settings. Your subscription will remain active until the end of the current billing period.
• Except where required by law, fees are non‑refundable and we do not provide partial‑period refunds.

7. Acceptable Use

• Do not use the Service for any unlawful, harmful, or abusive purpose.
• Do not attempt to reverse engineer, interfere with, or disrupt the Service or its infrastructure.
• Do not infringe or violate others’ rights, including privacy, publicity, and intellectual property rights.
• Comply with all applicable laws and regulations, including export controls.

8. User Content

• You retain ownership of content you submit to or through the Service.
• You grant Simplitas a worldwide, non‑exclusive license to host, process, and display your content as necessary to operate and provide the Service.
• You represent that you have all necessary rights to submit the content and grant this license.

9. Intellectual Property

The Service, including software, features, trademarks, branding, and documentation, is owned by tenXis Inc or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

10. Feedback

If you provide ideas, suggestions, or feedback, you grant us a perpetual, worldwide, irrevocable, royalty‑free license to use and exploit that feedback without restriction.

11. Third‑Party Services

The Service may integrate with or link to third‑party products or services. We are not responsible for third‑party services and disclaim all liability arising from your use of them. Your use of third‑party services is governed by their terms and policies.

12. Confidentiality and Security

• We implement reasonable technical and organizational measures to protect the Service and your data.
• You agree to protect any non‑public information you obtain about our Service and systems.

13. Beta Features

From time to time, we may offer features identified as beta or experimental. These may be provided "as is," may be subject to additional terms, and may be changed or discontinued at any time.

14. Changes to the Service and Terms

• We may modify or discontinue parts of the Service at any time.
• We may update these Terms from time to time. If changes are material, we will provide reasonable notice by posting the new Terms or by other appropriate means. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be uninterrupted, secure, or error‑free, or that results will be accurate or reliable.

16. Limitation of Liability

To the fullest extent permitted by law, in no event will tenXis Inc, its affiliates, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of the Service, whether based on warranty, contract, tort, statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage. Our aggregate liability for any claim relating to the Service will not exceed the amounts paid by you to Simplitas during the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless tenXis Inc and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or applicable law.

18. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York, New York for any disputes not subject to arbitration.

19. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, including for breach of these Terms or to comply with legal obligations. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

20. Entire Agreement

These Terms constitute the entire agreement between you and tenXis Inc regarding the Service and supersede any prior or contemporaneous agreements on the subject matter.
